Our attorneys represent commercial borrowers in structuring and negotiating credit facilities and debt issuances, including revolving and term loans, construction loans, equipment loans and real estate loans. We also represent commercial lenders in drafting and negotiating loan documentation for a wide variety of loan transactions, including public financing transactions such as Hospital Revenue Bonds and commercial loans, such as automobile floor plan loans. Our attorneys draft and negotiate a full range of loan documents, including credit agreements, guaranties, subordination agreements, trust indentures, participation and syndication agreements, pledge and security agreements, mortgages and deeds of trust.
We regularly issue legal opinion letters relating to enforceability of loan documents and validity of security interests.
Loan Workout & Debt Restructuring
Our attorneys successfully negotiate loan workouts and credit restructurings on behalf of both lenders and borrowers, including drafting and negotiating loan document amendments, standstill and forbearance agreements and settlement agreements. Our transactional attorneys also provide support to our litigation attorneys in a wide variety of loan-related litigation matters, including defending borrowers in deficiency actions and guarantors in enforcement actions.
Uniform Commercial Code & Secured Transactions
Our attorneys routinely advise lenders and borrowers on complex matters relating to the Uniform Commercial Code and secured transactions, including: sales, leases, negotiable instruments, bank deposits, fund transfers, letters of credit, warehouse receipts, bills of lading, investment securities and secured transactions.
